At Order Scope Inc. (“OrderScope”, “we,” “us”, or “our”), we are deeply committed to protecting the privacy of our customers and our customers' businesses. We respect you, your privacy, and your data. We know that through conducting business on the Internet, there are concerns about security, privacy, and data collection. Therefore, we have created this Privacy Policy (this “Policy”) to demonstrate our commitment to maintaining the privacy of our users and other individuals (“you” or “your”) and to inform you of our practices concerning the collection, use, disclosure, and other processing of personal information.

1. General

This Policy explains:

  • what personal information we collect and why we collect it;

  • how we use your personal information;

  • with whom we share your personal information;

  • how long we keep your personal information; and

  • the choices you have to access and update your personal information.


For the purposes of this Policy, “personal information” means information about an identifiable individual and our Policy regarding how personal information entrusted to us is collected, used, disclosed, or retained reflects the principles set forth in Canada’s Personal Information Protection and Electronic Documents Act (“PIPEDA”) and applicable provincial privacy laws. For greater certainty, our Policy does not apply to residents of the province of Québec or comply with applicable Québec privacy laws and if you are a resident of Québec, you should not use our Services.

We provide an enterprise resource planning and e-commerce platform as well as other services as described on our website (collectively, the “Services”). During the course of providing the Services, we may gather and use your personal information through our websites, mobile sites, applications, and tools (collectively, the “Website”). Your personal information may also be obtained directly from you or collected from third parties that have the right to disclose this information to us. OrderScope reserves the right to update or change this Policy at any time in accordance with Section 2 (Consent), below.


 

OVERVIEW OF OUR PRIVACY PRACTICES


Our privacy practices are summarized here. Under this Policy, we:

  • may collect and process certain personal information when you access or use our Website or Services or when you interact with us, for the purposes outlined in this Policy (see Section 3 (What Information We Collect & Why We Collect It) and Section 4 (How We Collect Your Information));

  • allow you to withdraw your consent to the collection, use, disclosure, and other processing of your personal information at any time (see Section 2 (Consent));

  • do not disclose your personal information to third parties, except as set out in Section 6 (Information We Share);

  • take appropriate security measures to protect personal information in accordance with applicable law; however even with these measures, there is a residual risk of the loss of, unauthorized access to, or unauthorized disclosure of your personal information which could result in financial or other harm to you (see Section 9 (Information Security));

  • inform you of your rights regarding your personal information in Section 7 (Your Privacy Rights);

  • retain your personal information for only as long as necessary to provide the Services, fulfill the purpose for which your information was collected, or for other business purposes (see Section 10 (Storage and Retention of Your Information));

  • store and process your personal information and other content you provide to us on servers located in Québec, Canada;

  • explain that your personal information may be stored, processed, shared, or otherwise used on servers belonging to External Third Parties located outside Canada, such as the United States (see Section 10 (Storage and Retention of Your Information)); and

  • provide you with a method to contact us should you have questions or concerns about our privacy practices in Section 12 (Contact Us). More information about our privacy practices is set out below.

2. Consent

 

Providing Consent

BY (i) VISITING OUR WEBSITE; (ii) USING OUR SERVICES; AND/OR (iii) OTHERWISE PROVIDING US WITH YOUR PERSONAL INFORMATION,

YOU, IN EACH CASE, CONSENT TO THE COLLECTION, USE, DISCLOSURE, AND OTHERWISE PROCESSING OF YOUR PERSONAL INFORMATION FOR THE PURPOSES IDENTIFIED IN AND IN ACCORDANCE WITH THIS POLICY, AND FOR THE PURPOSES IDENTIFIED TO YOU PRIOR OR AT THE TIME YOU PROVIDED THE PERSONAL INFORMATION. IF YOU DO NOT AGREE WITH THIS POLICY, YOU SHOULD NOT ACCESS OR USE OUR WEBSITE OR SERVICES.

We do not knowingly collect or maintain personal information provided by individuals under the age of majority in the province/state in which they access the Website without the consent of a parent or guardian. IF YOU ARE UNDER 16 (OR THE EQUIVALENT AGE OF MAJORITY IN THE PROVINCE/STATE IN WHICH YOU ACCESS THE WEBSITE), YOU MUST HAVE YOUR PARENT OR GUARDIAN REVIEW THIS POLICY AND CONSENT TO ITS TERMS ON YOUR BEHALF. Furthermore, your parent or guardian will be required to provide consent to updates to this Policy in accordance with this Section 2, for as long as you remain under the age of majority in the province/state in which you reside.

If we learn that we have collected or received personal information from an individual under the age of 16 without verification of parental/guardian consent, we will delete that information from our records in accordance with applicable laws. If you become aware that anyone under the age of majority has unlawfully provided us with personal information, please contact us using the information set out in Section 12 (Contact Us), and we will promptly take the necessary actions to delete such information.

 

Withdrawing Consent

You may withdraw your consent to the collection, use, disclosure and otherwise processing of your personal information at any time, subject to legal and contractual restrictions and reasonable notice. To do this, please contact us as set out in Section 12 (Contact Us) below. Please note that revoking your consent may result in you not being able to access or use the Website or Services.

We also provide you with mechanisms to opt out in the following instances:

  • Tracking Technologies/Advertising. You can set your browser to refuse all or some browser cookies, or to alert you when cookies are being sent. If you disable or refuse cookies, please note that some parts of our Website or Services may then be inaccessible or not function properly;

  • Promotional Offers. You will only receive promotional or marketing e-mails and/or text messages from us if you opt-in to our marketing mailing list. You may unsubscribe from this list at any time using the methods outlined below in Section 8 (Your Marketing Preferences); and

  • Targeted Advertising. Updates and Consent

OrderScope reserves the right to update or change this Policy at any time. Any alterations to the Policy will take effect upon being posted to the Website. We may make reasonable efforts to inform you of significant changes through email or Service notifications. However, it is your responsibility to regularly review the Policy. The processing of your personal information will be governed by the most current version of the Policy. The date this Policy was last updated is identified above.

By continuing to access the Website or Services after changes are made to this Policy, you agree to be bound by the revised terms. If you do not agree to the revised Policy, then immediately stop using the Website and Services.

3. What Information We Collect & Why We Collect It

The types of information we collect from you include:

  • Contact Information. This includes full name, address, phone number, and email address when you register for an account to use our Services. We may also collect this information depending on how you contact/communicate with us. We use this information to create and administer your account and to communicate with you.

  • Financial Information: For processing payment in connection with the Services, we may collect financial information, such as credit card number, type, expiration date, and security code.

  • Communication information: If you contact our sales or customer service department, we may record your conversation (for training and coaching purposes) with us, maintain email, text and/or chat logs, and collect additional information to verify your identity.

  • Usage data: When you visit our Website we may collect information such as location, IP address, unique device identifier, browser characteristics, device characteristics, operating system, language preferences, key actions, referring URLs, information on actions taken on the site, dates and times of visits to this site and other usage statistics. We collect this information for purposes including: to improve our Website and Services, to enhance your experience using our Website and Services by saving your data history, for analytical review purposes, for fraud detection, and spam prevention.

4. How We Collect Your Information

We collect your personal information in the following ways:

  • Direct Interactions. You may provide your personal information to us when you subscribe to our newsletters, fill out online forms, request data electronically or via phone, or otherwise correspond with us (such as during trade shows, industry events, and other functions).

  • communicating about employment opportunities;

  • communicating about, and administering participation in, special events, promotions, programs, offers, surveys, contests and market research, provided you have opted to receive such communications;

  • responding to your inquiries, including providing customer support;

  • placing/confirming your orders or subscriptions;

  • to aid our data partner and advertising platforms in increasing the relevancy of our ads to you;

  • operating, evaluating and improving our website, services and any other products or services of ours (including developing, analyzing and improving our services; managing our communications; performing data analytics; and performing accounting, auditing and other internal functions);

  • to our affiliates, employees, agents, partners, service providers and legal representatives for the purposes of providing the services as described in this Policy;

  • to engage in negotiations or execution of any merger, sale of company assets, financing, or acquisition of all or a portion of our business by another company;

We also share the personal information we collect from or about you when contracting with External Third Parties who help us provide, maintain, and/or improve our Website and/or Services or to market our products and services. For the purpose of this Policy, “External Third Parties” refer to the following categories of organizations that we may share information with:

  • service providers that we engage to perform services on our behalf, including information technology and platform administration service providers. Additional third-party service providers include email marketing service providers, payment service providers, information security service providers, fraud detection service providers, courier/shipping providers, and automated content verification service providers;

  • professional advisers acting as processors or joint controllers including lawyers, bankers, auditors, and insurers who provide consultancy, banking, legal, insurance, and accounting services; and

  • government bodies or law enforcement agencies, when we believe it to be necessary for compliance with the law or to protect our users, Website, Services, or the public.


To the extent that your personal information is provided to any External Third Party by us, such External Third Party will only use or otherwise process your personal information in a manner that is consistent with this Policy.

We may disclose Anonymized Aggregated Information (as defined below) about our users, and information that does not identify any individual, without restriction.

Subject to the terms of this Policy and applicable laws, you have the right to access the personal information that OrderScope holds about you. You can request details about:

  • the personal information we hold about you;

  • the categories of personal information concerned;

  • the purposes of any processing;

  • details to whom your personal information has been/will be disclosed;

  • how long we retain your personal information;

  • if we did not collect the information directly from you, information about the source; and

  • how to lodge a complaint with the correct supervisory authority.


You may also request that we:

  • update any incomplete or inaccurate information about you; and • delete your personal information in accordance with applicable laws.


You may exercise your rights under this Section 7 by contacting us as set out in Section 12 (Contact Us).

8. Your Marketing Preferences

If you have provided us with your contact information, we may, subject to any applicable anti-spam laws or regulations, contact you via e-mail, postal mail, text message, or telephone about our products, services, and/or events that may be of interest to you.

We will only send you marketing messages if you provide your consent to receive them. You may unsubscribe at any time using the methods outlined below. All marketing messages will comply with applicable anti-spam legislation.

You can update and manage your marketing preferences through the profile settings in your user account. In addition, e-mail communications you receive from us will generally provide an unsubscribe link allowing you to opt-out of receiving future e-mails or to change your contact preferences. E-mail communications may also include a link to directly update and manage your marketing preferences. We have implemented industry-standard security measures to protect your personal information. However, with the internet and technology constantly changing and evolving, there is no way to guarantee that your information will be 100% safe. By using our Website or Services, you agree that you are using the Website or Services and transmitting personal information at your own risk. We are not responsible for circumvention of any privacy settings or security measures contained on the Website or Services.

10.Storage and Retention of Your Information

We retain personal information for only as long as necessary to provide the Services, fulfill the purpose for which your information was collected, or for other business purposes, including to comply with our legal obligations, resolve disputes, and enforce our agreements. To determine the appropriate retention period for personal information, we consider the amount, nature, and sensitivity of the personal information, the potential risk of harm from unauthorized use or disclosure of your personal information, the purposes for which we process your personal information and whether we can achieve those purposes through other means, and the applicable legal requirements. We are required by law to keep some types of information for certain periods of time (e.g., statute of limitations).

We currently store and process your personal information and other content you provide to us on servers located in Québec, Canada. Our servers follow industry standards pertaining to security. In some circumstances, your personal information may be stored, processed, shared, or otherwise used on servers belonging to External Third Parties located outside Canada, such as the United States. Such External Third Parties are only permitted to store, process, and access your personal information, and are not otherwise authorized to collect, use or disclose your personal information, except in accordance with the purposes set out in this Policy or as required by applicable law. However, it is possible that foreign governments, courts, law enforcement, or regulatory agencies may be able to access your personal information under foreign laws when shared with External Third Parties.

By using our Website or Services, or otherwise providing us with personal information, you agree to the transferring of your personal information in accordance with this Policy and applicable data protection laws and regulations.

11. Third Party Links and Anonymized Information

This Policy does not apply to information collected by any third party or through any application or content that may link to, be accessible from, or on, or through our Website or Services. We do not operate or control any information, software, products, or services available on such third-party websites. The inclusion of a link to a website does not imply our endorsement of the service or the site, its contents, or its sponsoring organization. Information collected through third-party plug-ins and widgets on the Website (such as information relating to your use of a social media sharing tool) is collected directly by the providers of the plugins and widgets. This information is subject to the privacy policies of the providers of the plug-ins and widgets, and OrderScope is not responsible for those providers’ information practices.

In addition, Anonymized Aggregated Information is not subject to this Policy. We may use aggregated information about our users, and information that does not identify any individual, without restriction (“Anonymized Aggregated Information”). Information is deemed “anonymized” when it is, at all times, reasonable to expect in the circumstances that it irreversibly no longer allows the person to be identified, directly or indirectly. By using our Website or Services, you agree to allow us to anonymize your information where appropriate for us to do so.
